1. Agreement to Terms

These Terms of Service (“Terms”) govern your use of the On The Hill AI website and services. By accessing our website or engaging our services, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our website or services.

2. Description of Services

On The Hill AI provides custom AI automation services for UK businesses, including:

  • Customer Communication Automation: Handling routine enquiries, bookings, and customer updates via AI agents
  • Operations Automation: Scheduling, ordering, reporting, and workflow coordination
  • Process Mapping and Consultancy: Analysing business operations and identifying automation opportunities
  • System Integration: Connecting existing tools and building custom solutions around your workflows

3. Service Engagement

3.1 Discovery Phase

Engagements typically begin with a Discovery phase (£1,500 fixed) which includes process mapping, automation opportunity identification, and a fixed-price implementation quote. You keep the Discovery deliverables regardless of whether you proceed to implementation.

3.2 Implementation Phase

Implementation involves building, testing, deploying, and handing over your custom automation systems. Timelines typically range from 2–6 weeks depending on complexity. Specific timelines and scope will be outlined in your proposal.

3.3 Custom Solutions

All automation solutions are custom-built for your specific business needs. We do not provide off-the-shelf software products.

4. Fees and Payment

4.1 Pricing

Discovery is priced at £1,500. Implementation ranges from £3,000–£20,000 depending on scope and complexity. Exact pricing will be provided in your proposal.

4.2 Payment Terms

  • Payment terms will be specified in your service agreement
  • Typical structure: 50% deposit to begin work, 50% upon completion
  • Payment due within 14 days of invoice unless otherwise agreed

4.3 Additional Costs

The following are not included in our service fees and are the client’s responsibility:

  • Third-party software licences or API costs (if required for your solution)
  • Ongoing hosting or infrastructure costs (if applicable)
  • Monthly running costs for deployed systems (typically £50–£200/month)

5. Client Obligations

To ensure successful project delivery, clients agree to:

  • Provide timely access to necessary systems, data, and information
  • Respond to requests for feedback or approvals within reasonable timeframes
  • Designate a primary point of contact for the project
  • Provide accurate information about business processes and requirements
  • Test and provide feedback on delivered solutions

6. Intellectual Property

6.1 Ownership of Deliverables

Upon full payment, you own the custom automation solutions we build specifically for your business. There are no ongoing licence fees or lock-in.

6.2 Pre-Existing IP

On The Hill AI retains ownership of our proprietary methodologies and processes, reusable code libraries and frameworks, and any tools or systems not specifically built for your project.

6.3 Client Data

You retain all rights to your business data, customer information, and proprietary business processes.

7. Confidentiality

Both parties agree to keep confidential information private and secure, use it only for the purposes of the engagement, and not disclose it to third parties without consent. Confidential information includes business processes, customer data, pricing, strategies, and technical implementations.

8. Data Protection and Privacy

Our handling of your data is governed by our Privacy Policy. We are committed to compliance with UK GDPR and Data Protection Act 2018, implementing appropriate technical and organisational security measures, processing data only as necessary to provide our services, and maintaining confidentiality of client data.

9. Warranties and Disclaimers

9.1 Our Warranties

We warrant that services will be performed with reasonable skill and care, we have the necessary expertise to deliver the agreed services, and delivered solutions will substantially conform to agreed specifications.

9.2 Disclaimers

To the extent permitted by law: services are provided without warranties beyond those explicitly stated; we do not guarantee specific business outcomes, ROI, or performance metrics; we are not responsible for third-party service performance; and AI and automation performance may vary based on data quality and external factors.

10. Limitation of Liability

10.1 Cap on Liability

Our total liability to you for any claims arising from our services shall not exceed the total fees paid by you for the specific services giving rise to the claim.

10.2 Excluded Damages

We shall not be liable for loss of profits, revenue, or business opportunities; loss of data (beyond our reasonable efforts to prevent); indirect, consequential, or punitive damages; or damages arising from your misuse of delivered solutions.

10.3 Exceptions

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold On The Hill AI harmless from claims arising from your use of delivered automation solutions, your violation of applicable laws or regulations, your violation of third-party rights, or content you provide that infringes intellectual property rights.

12. Term and Termination

12.1 Project Duration

Individual projects conclude upon delivery and acceptance of the agreed scope of work.

12.2 Termination by Client

You may terminate a project at any time by providing written notice. You will be responsible for payment for all work completed to date and any non-refundable expenses incurred.

12.3 Termination by On The Hill AI

We may terminate if you fail to make payment when due, you breach these Terms, or you fail to provide necessary cooperation or information.

12.4 Effect of Termination

Upon termination, outstanding payments become immediately due, we will deliver work completed to date (upon payment), and confidentiality obligations survive termination.

13. Support and Maintenance

Unless otherwise agreed in writing, post-delivery support is provided on a reasonable efforts basis. Major modifications or enhancements are subject to separate agreements. We may offer ongoing support packages at additional cost.

14. Changes to Services

We reserve the right to modify our service offerings, update our processes and methodologies, and change our pricing for future engagements. Changes do not affect existing signed agreements.

15. Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions or regulations, internet or telecommunications failures, and third-party service outages.

16. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity.

17. Entire Agreement

These Terms, along with any signed service agreement and our Privacy Policy, constitute the entire agreement between you and On The Hill AI regarding our services.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

20. Dispute Resolution

In the event of a dispute, we encourage informal resolution through direct communication. If informal resolution fails, both parties agree to attempt mediation before pursuing litigation.

21. Modifications to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance. Material changes will be communicated via email to active clients.
